CROSSROADS - TERMS OF SERVICE Last updated: June 29, 2026 1. AGREEMENT TO TERMS These Terms of Service ("Terms") are a legal agreement between you and CrossRoads Digital Media ("CrossRoads," "we," "us," or "our") governing your access to and use of the CrossRoads mobile application, website, dashboard, and related services (the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms, our Privacy Policy, Community Guidelines, Content Moderation Policy, DMCA and Copyright Policy, SMS and Communications Policy, and Artistic Integrity Agreement. If you do not agree, do not use the Services. 2. DESCRIPTION OF THE SERVICES CrossRoads is a professional networking, collaboration, and opportunity platform for film, television, and media professionals. The Services may allow users to: - Create professional profiles and portfolios. - Post and respond to ISOs, availability requests, projects, groups, and collaboration opportunities. - Message and collaborate with other users. - Import and manage private contacts. - Share content, contacts, profiles, invites, and links. - Upload images, video, audio, files, and other professional materials. - Use organization, project, dashboard, analytics, notification, and moderation tools where available. The Services are a platform. CrossRoads is not an employer, talent agency, payroll company, production company, casting agency, union representative, payment processor, escrow service, or party to contracts between users unless we expressly agree in writing. 3. ELIGIBILITY You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if: - You are barred from using the Services under applicable law. - Your account was previously terminated for cause. - You are located in a country or region subject to U.S. sanctions or export restrictions that prohibit your use. - You are listed on a U.S. government restricted-party list. 4. ACCOUNT REGISTRATION AND SECURITY You agree to: - Provide accurate, current, and complete information. - Keep your profile and account information updated. - Use your real identity or a truthful professional identity. - Keep your credentials and devices secure. - Not share your account with another person. - Notify us promptly of suspected unauthorized access. You are responsible for activity under your account unless caused by CrossRoads' failure to meet its legal obligations. 5. USER CONTENT "User Content" means content you submit, upload, post, send, store, or otherwise make available through the Services, including profile information, ISOs, messages, comments, replies, reports, contact notes, project materials, media, files, audio, video, and creative samples. You retain ownership of your User Content. You grant CrossRoads a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, display, perform, distribute, transmit, modify for technical formatting, create thumbnails or previews, moderate, translate, and otherwise use your User Content as necessary to operate, secure, promote, and improve the Services. You represent and warrant that: - You own or have all rights needed to submit and share your User Content. - Your User Content does not violate another person's rights, including copyright, trademark, privacy, publicity, contractual, guild, union, or confidentiality rights. - You have obtained all required consents from people appearing in or contributing to your User Content. - Your User Content complies with these Terms and all CrossRoads policies. CrossRoads may remove or restrict User Content at any time if we believe it violates these Terms, our policies, law, or platform integrity. 6. ARTISTIC INTEGRITY AND AI DISCLOSURE You agree to follow the Artistic Integrity Agreement. You may not: - Claim another person's work, credits, likeness, voice, image, name, performance, or creative contribution as your own. - Fabricate credentials, credits, endorsements, testimonials, availability, or professional experience. - Use AI, synthetic media, deepfakes, voice cloning, face replacement, or similar tools to impersonate another person or misrepresent creative authorship. - Present substantially AI-generated or AI-assisted work as entirely human-created without appropriate disclosure. CrossRoads permits legitimate creative use of AI tools when disclosed honestly and used lawfully. 7. PROFESSIONAL CONDUCT CrossRoads is intended for professional networking. You agree to: - Treat other users respectfully. - Accurately represent opportunities, rates, credits, requirements, production status, locations, and safety conditions. - Honor commitments you make through the Services. - Conduct your own due diligence before hiring, accepting work, sharing confidential materials, traveling, entering locations, or engaging in transactions with other users. CrossRoads is not responsible for user credentials, hiring decisions, payment disputes, contract performance, production safety, employment classification, tax obligations, union/guild compliance, or the outcome of professional relationships formed through the Services. 8. PROHIBITED CONDUCT You may not: - Violate law or encourage illegal activity. - Harass, threaten, bully, stalk, intimidate, exploit, or abuse any person. - Post hate speech, credible threats, non-consensual intimate imagery, child sexual abuse material, or content facilitating exploitation. - Impersonate any person or entity. - Misrepresent affiliation, credits, experience, authority, or project status. - Post spam, scams, phishing, malware, fraudulent offers, pyramid schemes, or deceptive solicitations. - Share private information, confidential materials, contact data, messages, or project details without authorization. - Use imported contacts, private notes, or contact-sharing features to harass, spam, scrape, resell, or profile people. - Scrape, crawl, harvest, reverse engineer, probe, or interfere with the Services without written permission. - Circumvent access controls, rate limits, moderation, security controls, or payment/feature gates. - Upload malicious code or attempt unauthorized access. - Use the Services to build or train a competing service without written permission. - Use the Services in a manner that violates Apple, Google, or other platform rules applicable to your TestFlight channel. 9. CONTENT MODERATION AND REPORTING CrossRoads uses automated systems, user reports, and human review to moderate content. We may remove, restrict, blur, block, demote, label, preserve, report, suspend, or terminate accounts or content. You may report content or users through in-app reporting tools where available or by contacting support@crossroads.app. Moderation systems are imperfect. We do not guarantee that all violating content will be detected or removed. Content availability does not mean CrossRoads endorses it. See our Community Guidelines and Content Moderation Policy for more detail. 10. PRIVACY AND COMMUNICATIONS Your use of the Services is subject to our Privacy Policy. By using the Services, you consent to our collection and processing of personal information as described there. You may receive transactional emails, push notifications, in-app notifications, and, where consented and enabled, SMS messages. Marketing communications require consent where required by law and include opt-out methods. See our SMS and Communications Policy for additional terms. 11. CONTACT IMPORTS AND INVITES If you import contacts, you must have the right to use that information for personal or professional networking through CrossRoads. You may not import contacts for spam, scraping, resale, harassment, or unauthorized marketing. If you send invitations through your device's native SMS, email, or share sheet, you are responsible for the message you send and for complying with applicable law. 12. ORGANIZATIONS, PROJECTS, AND ADMINISTRATORS If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. Organization, project, group, and workspace administrators may have access to certain activity, settings, membership, analytics, and content associated with their workspace. Administrators are responsible for managing access, removing former personnel, maintaining accurate member permissions, and ensuring that organization use complies with these Terms. 13. FEES, ADS, AND FUTURE PAID FEATURES CrossRoads may be free for some users and may offer paid features, subscriptions, advertising, promoted content, sponsorships, or transaction-related features. We will provide additional terms before charging fees or enabling material paid features. In-feed native ads may appear in the Services. Ad delivery and measurement may be subject to privacy choices, device settings, non-personalized ad handling, and platform requirements. 14. THIRD-PARTY SERVICES The Services may link to or integrate with third-party services, including identity providers, cloud providers, media processors, analytics providers, communications providers, app stores, maps, ad networks, and external websites. CrossRoads is not responsible for third-party services, terms, privacy practices, content, availability, or security. 15. INTELLECTUAL PROPERTY CrossRoads owns or licenses the Services, including software, design, technology, trademarks, trade dress, logos, and content we provide, excluding User Content. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law or by written agreement. You may not use CrossRoads names, logos, or branding without written permission. 16. APP STORE TERMS If you download the mobile app from Apple App Store, Google Play, or another distribution platform, your use is also subject to that platform's terms. If there is a conflict between these Terms and mandatory app-store terms, the mandatory app-store terms control only to the extent of the conflict. 17. ACCOUNT SUSPENSION AND TERMINATION We may suspend or terminate accounts or access to the Services at any time if we believe you violated these Terms, our policies, law, or platform integrity. You may delete your account through app settings where available or by contacting support. Deletion and retention are described in our Privacy Policy. Sections that by their nature should survive termination will survive, including ownership, content licenses, disclaimers, limitations of liability, indemnity, dispute terms, and records needed for safety, legal, or compliance purposes. 18. DISCLAIMERS THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROSSROADS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT USER CONTENT, PROFESSIONAL CREDENTIALS, OPPORTUNITIES, PAYMENTS, CONTRACTS, OR THE CONDUCT OF USERS. 19. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROSSROADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; LOST GOODWILL; BUSINESS INTERRUPTION; OR DAMAGES ARISING FROM USER CONTENT OR USER CONDUCT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROSSROADS' TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID CROSSROADS FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some limits may not apply to you. 20. INDEMNIFICATION You agree to defend, indemnify, and hold harmless CrossRoads and its officers, directors, employees, agents, affiliates, service providers, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to: - Your use of the Services. - Your User Content. - Your violation of these Terms or any policy. - Your violation of law. - Your violation of another person's rights. - Your professional, contractual, employment, payment, or production dispute with another user. 21. GOVERNING LAW AND DISPUTES These Terms are governed by California law, excluding conflict-of-law rules. Before filing a claim, you and CrossRoads agree to try to resolve the dispute informally by contacting legal@crossroads.app and allowing a reasonable time for response, except for urgent equitable relief, intellectual property claims, unauthorized access, or safety matters. Unless a legally reviewed arbitration agreement is separately adopted, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from these Terms or the Services, except where applicable law requires otherwise. 22. GENERAL TERMS These Terms and incorporated policies are the entire agreement between you and CrossRoads for the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. We are not liable for delays or failures caused by events beyond our reasonable control. 23. CHANGES TO THESE TERMS We may update these Terms. If changes are material, we will provide notice through the app, website, email, or another appropriate method. Continued use after the effective date means you accept the updated Terms. 24.
